• Make payments according to agreed terms

Payment Terms

Pricing and Billing

• Service fees are outlined in your specific Service Agreement
• Monthly services are billed in advance
• Setup fees, if applicable, are due upon service commencement
• Prices are subject to change with 30 days' notice

Payment Processing

• Payments are due within 30 days of invoice date
• Late payments may incur additional fees
• Services may be suspended for non-payment
• Returned payments incur additional processing fees

Refunds

Refund policies are outlined in individual Service Agreements. Generally, we offer a 30-day satisfaction guarantee for new clients, with specific terms detailed in your agreement.

Intellectual Property

Our Intellectual Property

All content, strategies, methodologies, reports, and materials created by GeoRank remain our intellectual property. Clients receive a license to use materials provided specifically for their business.

Client Content

You retain ownership of your business information, content, and data. You grant us permission to use this information to provide our services and create necessary marketing materials.

Third-Party Platforms

Our services often involve third-party platforms (Google, social media, directories). Use of these platforms is subject to their respective terms of service.

Confidentiality

We maintain strict confidentiality regarding:

• Your business information and data
• Marketing strategies and competitive intelligence
• Financial and performance information
• Any information marked as confidential

We may use anonymized data for case studies or industry analysis with your consent.

Limitation of Liability

To the fullest extent permitted by law:

• Our liability is limited to the amount paid for services in the preceding 12 months
• We are not liable for indirect, consequential, or punitive damages

• Clients assume responsibility for compliance with applicable laws

Termination

Termination by Client

You may terminate services according to the terms in your Service Agreement, typically with 30 days' written notice.

Termination by GeoRank

We may terminate services immediately if you:

• Breach these Terms or your Service Agreement
• Fail to pay invoices after notice
• Engage in illegal or unethical business practices
• Provide false or misleading information

Effect of Termination

Upon termination:

• Access to our systems and reporting will cease
• Outstanding invoices remain due
• Confidentiality obligations continue
• We will provide transition assistance as outlined in your agreement

Dispute Resolution

Any disputes arising from these Terms or our services will be resolved through:

1. Direct negotiation: Good faith discussions between parties
2. Mediation: Binding mediation in Phoenix, Arizona
3. Arbitration: Final binding arbitration under Arizona law

These Terms are governed by Arizona state law.

Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated with 30 days' notice. Continued use of our services after changes constitutes acceptance of new Terms.

General Provisions

Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full effect.

Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control, including natural disasters, government actions, or technical failures.

Entire Agreement

These Terms, together with your Service Agreement and Privacy Policy, constitute the entire agreement between parties.
